FREX - TERMS OF USE

FREX TECHNOLOGIES PRIVATE LIMITED (“Frex”, or “Our”, or “We”, or “Us”), is a company
incorporated under the Companies Act, 2013, having its registered office at 1245, Plus Offices,
First Floor, Landmark Cyber Park, Badshahpur, Gurgaon, Haryana - 122101, with Corporate
Identification Number U62090HR2025PTC131236.

Frex is the owner, developer and operator of an online technology platform accessible via the
mobile and web Applications (“App”) that enables private individual users to build an
international payment order, receive live exchange rate quotes and book transactions
(“Services”).

A. Acceptance of Terms of Use

The terms and conditions set forth below ("Terms of Use") and the Privacy Policy (as
defined below) constitute a legally-binding agreement between Frex and you. By
accessing, browsing, downloading, using, or registering for any Content (as defined
hereinafter), material, or functionality contained on the App, you acknowledge that you
have read and understood these Terms of Use and that you accept and agree to be bound
by them in full without limitation or qualification. If you do not agree to these Terms of Use,
do not use the App, or any portion thereof. Any use of the App is at the sole risk of the
user. The App, except, where indicated otherwise, is the property of Frex.

By accepting these Terms of Use, you accept and agree to be subject to standard due
diligence checks conducted by our third-party service partner(s) and/or Us, including, but
not limited to, Know Your Client (KYC) and Anti-Money Laundering (AML) (“AML/KYC
Check”), for the purposes of your onboarding on Our platform. Acceptance and activation
of any user is subject to the AML/KYC check and the sole discretion of Frex and Our third-
party service partner(s).

READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT RULES,
RESTRICTIONS, DISCLAIMERS, AND OTHER INFORMATION GOVERNING YOUR
USE OF OUR APP AND SERVICES.

B. MODIFICATIONS TO TERMS OF USE AND/ OR PRIVACY POLICY

Frex reserves the right, in its sole discretion, to change, modify, or otherwise amend the
Terms of Use, and any other documents incorporated by reference herein for complying
with legal and regulatory framework and for other legitimate business purposes, at any
time, and Frex will post the amended Terms of Use at the domain of
https://www.frexpay.com/legal/TermsConditions.html. It is your responsibility to review
the Terms of Use for any changes and you are encouraged to check the Terms of Use
frequently. Your use of the App following any amendment of the Terms of Use will signify

your assent to and acceptance of any revised Terms of Use. If you do not agree to abide
by these or any future Terms of Use, please do not use or access the App.

C. PRIVACY POLICY

Frex has established a Privacy Policy that explains to users how their information is
collected and used. The Privacy Policy is referenced above and hereby incorporated into
the Terms of Use set forth herein. Your use of the App is governed by the Privacy Policy.

(“Privacy Policy”).

D. MEMBERSHIP AND ACCESSIBILITY

1. LICENSE TO ACCESS

Frex grants you a personal, non-exclusive, non-transferable, limited license to use the
App and to view or access the App solely for your personal use and subject to the
condition that you do not (and do not allow any third party to) copy, modify, create a
derivative work from, reverse engineer, reverse assemble, or otherwise attempt to
discover any source code, sell, assign, sublicense, grant a security interest in, or
otherwise transfer any right in or access to the App, the Services, or any other Content
available via the App.

You further agree neither to modify the App, or any part thereof, in any form or manner,
nor to use any modified versions of the App or the Services, for any reason whatsoever,
without the express written consent of Frex. You may not attempt to gain any
unauthorized access to the App or any of its associated content, including computer
systems, software, or networks. No redistribution of any Content, materials, or
information contained on or offered through the App or the Services is permitted,
unless expressly specified in a prior agreement between you and Frex.

2. MEMBERSHIP ELIGIBILITY CRITERIA

In these Terms Of Use, “you” and “your” refer to the individual accessing the App. This
App is not for any business entity or electronic agent. You represent and agree that all
information that you provide to Frex in connection with your access to and use of the
App is and shall be true, accurate, and complete, to the best of your knowledge, ability,
and belief. We reserve the right to terminate or modify these Terms of Use, or to refuse,
restrict, or discontinue service or access to the App (or any portions, components, or
features thereof) to you or any other person or entity, for any reason or for no reason
whatsoever, at any time, without notice or liability. Failure to comply with these Terms
of Use may, among other things, result in the immediate termination of your access to
and use of the App and any related Services.

You need not register with App to simply visit and view the App, but to access and
participate in certain features of the App, you may need to create a password-protected
account ("Account"). To create an account, you must submit your name and email
address through the account registration page on the App and create a password. You
will also have the ability to provide additional optional information, which is not required
to register for an account but may be helpful to App in providing you with a more
customized experience when using the App. Notwithstanding the above, you will be
required to comply with the KYC norms of Our third party service provider(s) and / or
the norms as set out by Us, in order to utilize the Services.

You are solely responsible for safeguarding your Frex password ("Password") at all
times and shall keep your Password secure at all times. You shall be solely responsible
for all activity that occurs on your Account and you shall notify Frex immediately of any
breach of security or any unauthorized use of your Account. Similarly, you shall never
use another's Account without Frex’s permission. You agree that you will not
misrepresent yourself or represent yourself as another user of the App and/or the
Services offered through the App.

You hereby expressly acknowledge and agree that you yourself and not Frex will be
liable for your losses, damages etc. (whether direct or indirect) caused by an
unauthorized use of your Account. Notwithstanding the foregoing, you may be liable
for the losses of App or others due to such unauthorized use.

You acknowledge and agree that you shall comply with the following policies (the
"Account Policies"):

i. You will not copy or distribute any part of the App in any medium without Frex's prior
written authorization.

ii. You will not alter or modify any part of the App other than as may be reasonably
necessary to use the App for its intended purpose.

iii. You will provide true, accurate, current and complete information when creating
your Account and you shall maintain and update such information during the term
of this Agreement so that it will remain accurate, true, current and complete.

iv. You shall not use any automated system, including but not limited to, "robots,"
"spiders," "offline readers," "scrapers," etc., to access the App for any purpose
without App's prior written approval.

v. You shall not in any manual or automated manner collect other users’ information,
including but not limited to, names, addresses, phone numbers, or email addresses,
copying copyrighted text, or otherwise misuse or misappropriate App information or
content, including but not limited to, use on a "mirrored", competitive, or third-party
site.

vi. You shall not in any way that transmits more request messages to the App servers,
or any server of a Frex subsidiary or affiliate, in a given period of time than a human
can reasonably produce in the same period by using a conventional online web
browser; provided, however, that the operators of public search engines may use
spiders or robots to copy materials from the site for the sole purpose of creating
publicly available searchable indices of the materials, but not caches or archives of

such material. Frex reserves the right to revoke these exceptions either generally
or in specific cases.

vii. You shall not recruit, solicit, or contact in any form Frex personnels or users of the
App for employment or contracting for a business not affiliated with Frex without
express written permission from Frex.

viii. You shall not take any action that (a) unreasonably encumbers or, in Frex's sole
discretion, may unreasonably encumber the Frex's infrastructure; (b) interferes or
attempts to interfere with the proper working of the App or any third-party
participation in the App; or (c) bypasses Frex's measures that are used to prevent
or restrict access to the App.

ix. You agree not to collect or harvest any personally identifiable data, including without
limitation, names or other Account information, from the App, nor to use the
communication systems provided by the App for any commercial solicitation
purposes.

3. ADDITIONAL POLICIES

Your access to, use of, and participation in the App is subject to the Terms of Use and
all applicable Frex regulations, guidelines and additional policies that Frex may set
forth from time to time, including without limitation, a copyright policy and any other
restrictions or limitations that Frex publishes on the App (the "Additional Policies"). You
hereby agree to comply with the Additional Policies and your obligations thereunder at
all times. You hereby acknowledge and agree that if you fail to adhere to any of the
terms and conditions of this Agreement or documents referenced herein, including the
Account Policies, membership eligibility criteria or Additional Policies, Frex, in its sole
discretion, may terminate your Account at any time without prior notice to you as well
as initiate appropriate legal proceedings, if necessary.

E. MEMBER CONDUCT

1. PROHIBITIONS ON SUBMITTED CONTENT

The user shall use the Services available on the App subject to the following. You shall
not upload, email, post, transmit, display, transfer, disseminate, distribute, or facilitate
distribution of any content, including text, images, video, sound, data, information,
software, or live stream incorporating all or some of the foregoing, to Frex, its
employees and personnel, or to any part of the App, or during consultations, or the
posting of any opinions or reviews in connection with the App, the Services, the users
(all of the foregoing content is collectively referred to herein as “Submitted Content”
and the posting of Submitted Content is referred to as a “Posting” or as “Postings”)
that:

misrepresents the source of anything you post, including impersonation of another
individual or entity or any false or inaccurate biographical information for any user;
provides or create links to external sites that violate the Terms of Use; is intended to
harm or exploit any individual under the age of 18 (“Minor”) in any way;

is designed to solicit, or collect personally identifiable information of any Minor,
including, but not limited to, name, email address, home address, phone number, or
the name of his or her school; invades anyone’s privacy by attempting to harvest,
collect, store, or publish private or personally identifiable information, such as names,
email addresses, phone numbers, passwords, account information, credit card
numbers, home addresses, or other contact information without their knowledge and
willing consent; contains falsehoods or misrepresentations that could damage Frex, or
any third party;

is pornographic, harassing, hateful, illegal, obscene, defamatory, libelous, slanderous,
threatening, discriminatory, racially, culturally or ethnically offensive; incites,
advocates, or expresses pornography, obscenity, vulgarity, profanity, hatred, bigotry,
racism, or gratuitous violence; encourages conduct that would be considered a criminal
offense, give rise to civil liability or violate any law; promotes racism, hatred or physical
harm of any kind against any group or individual; contains nudity, violence or
inappropriate subject matter; or is otherwise inappropriate;

is copyrighted, protected by trade secret or otherwise subject to third-party proprietary
rights, including privacy and publicity rights, unless you are the owner of such rights or
have permission from the rightful owner to post the material and to grant Frex all of the
license rights granted herein;

contains or promotes an illegal or unauthorized copy of another person’s copyrighted
work, such as pirated computer programs or links to them, information to circumvent
manufacture installed copy-protection devices, pirated music or links to pirated music
files, or lyrics, guitar tabs or sheet music, works of art, teaching tools, or any other item
the copy, display, use, performance,

or distribution of which infringes on another’s copyright, intellectual property right, or
any other proprietary right;

is intended to threaten, stalk, defame, defraud, degrade, victimize, or intimidate an
individual or group of individuals for any reason on the basis of age, gender, disability,
ethnicity, sexual orientation, race, or religion; or to incite or encourage anyone else to
do so;

intends to harm or disrupt another user’s computer or would allow others to illegally
access software or bypass security on websites or servers, including but not limited, to
spamming; impersonates, uses the identity of, or attempts to impersonate a Frex
employee, agent, manager, host, another user, or any other person though any means;

advertises or solicits a business not related to or appropriate for the App (as
determined by Frex in its sole discretion);

contains or could be considered “junk mail”, “spam”, “chain letters”, “pyramid
schemes”, “affiliate marketing”, or unsolicited commercial advertisement; contains

advertising for ponzi schemes, discount cards, credit counseling, online surveys or
online contests;

distributes or contains viruses or any other technologies that may harm Frex, or the
interests or property of the App’s users;

contains links to commercial services or websites, except as allowed pursuant to the
Terms of Use;

is non-local or irrelevant content; contains identical content to other Postings you have
already posted; or uses any form of automated device or computer program that
enables the submission of Postings without the express written consent of Frex.

2. NO DISCRIMINATION

Indian laws prohibit any preference, limitation or discrimination based on race, color,
religion, sex, national origin, age, handicap or other protected class. Frex will not
knowingly accept any Posting which is in violation of the law. Frex has the right, in its
sole discretion and without prior notice to you; to immediately remove any posting that
discriminates or is any way in violation of any law.

While using the Website, you shall not:

violate any laws, third-party rights, Account Policies, or any provision of the Terms of
Use, such as the prohibitions described above;

circumvent or manipulate the fee structure, the billing process, or fees owed to Frex, if
any;

post false, inaccurate, misleading, defamatory, or libelous content (including personal
information about any App’s User);

The foregoing lists of prohibitions provide examples and are not complete or exclusive.
Frex reserves the right to (a) terminate your access to your Account, your ability to post
to the App (or use Services) and (b) refuse, delete or remove, move, of any Postings;
with or without cause and with or without notice, for any reason or no reason, or for
any action that Frex determines is inappropriate or disruptive to the App or to any other
User of the App and/or Services. Frex may report to law enforcement authorities any
actions that may be illegal, and any reports it receives of such conduct. When legally
required or at Frex’s discretion, Frex will cooperate with law enforcement agencies in
any investigation of alleged illegal activity on the App or on the Internet. Frex does not
and cannot review every Posting posted to the App. These prohibitions do not require
Frex to monitor, police or remove any Postings or other information submitted by you
or any other user.

3. RESTRICTION ON USE BY USERS

The App and/or Services are currently only for Non-Resident Indians (NRIs) based in
the United States of America; and no one else is permitted to utilize the same.

Any use or attempted use of the App: (i) for any unauthorized, fraudulent, illegal,
unlawful or malicious purpose; (ii) that could damage, disable, overburden, or impair
any server, or the network(s) connected to any server; (iii) that could interfere with any
other party's use and enjoyment of the App; (iv) to gain unauthorized access to any
other accounts, computer systems or networks connected to any server or systems
through hacking, password mining or any other means; (v) to access systems, data or
information not intended by Frex to be made accessible to a user; (vi) to attempt to
obtain any materials or information through any means not intentionally made available
by Us; or (vii) for any use other than the purpose for which it was intended, is prohibited.

You must be at least 18 years old to use the Services or the App. If you do not qualify,
please do not use the Services or the App.

The Services are only available to users, which means individuals who use our
Services for personal reasons, and not for their business and profession. You must not
use the Services for any business-related purposes, otherwise We may stop you from
using the Services without any further responsibility to you. The Platform does not allow
any payments from an individual to a business and from a business to a business.

You shall not permit, allow or do anything that would infringe or otherwise prejudice
the proprietary rights of Frex or its licensors or allow any third party to access the
content. The restrictions set out in this Agreement shall not apply to the limited extent
the restrictions are prohibited by applicable law.

Frex reserves the right to monitor the use of its Services and to take whatever lawful
actions it may deem appropriate in response to actual or suspected violations of the
foregoing, including, without limitation, withholding cash back or the suspension or
termination of a user’s access and/or Account.

Frex may cooperate with legal authorities and/or third parties in the investigation of any
suspected or alleged crime or civil wrong. Except as may be expressly limited by the
Privacy Policy, Frex reserves the right at all times to disclose any information deemed
necessary to satisfy any applicable law, regulation, legal process or governmental
request, or to edit, refuse to post or to remove any information or materials, in whole
or in part, in Frex’s sole discretion.

You also agree to reimburse Frex for any damage, loss, cost or expense Frex incurs
(including fees or costs of attorneys, accountants, professional advisors, and other
experts incurred in connection with the defense or settlement of the foregoing) because
of your use of the App for any illegal, unlawful or prohibited purpose.

Frex reserves the right to suspend or terminate customer uses of the Service if Frex
believes, in Our sole discretion, that the customer are using the Services for other
purposes, or if Frex believes the customers are using the Services in a manner that
exposes Frex to liability, reputational harm or brand damage, including but not limited

to using the Services to request, send money related to any Illegal or brand damaging
activities include, but are not limited to:

i. Un-authorized payments that occur in instances of account takeover, lost/stolen

debit cards or account information, etc.
ii. Scams - Recipient convinces a sender to send money by (a) pretending to be or to

represent another person or entity; or (b) offering to provide a good, service, or
additional funds while intending to provide nothing in return.

iii. Authorized a transfer of funds from the customer’s designated bank account to the
specified recipient’s bank account. After the funds are delivered, the customer
contacts their bank to report the transfer as unauthorized.

iv. Illegal purposes: Using Services in connection with funding terrorism, sexually
oriented materials or services, gambling activities, or buying or selling tobacco,
tobacco-related products, firearms, prescription drugs or other controlled
substances.

YOU ACKNOWLEDGE AND AGREE THAT YOUR USAGE OF THE APP AND/OR
SERVICES SHALL BE, AT ALL TIMES, IN COMPLIANCE WITH APPLICABLE LAW
INCLUDING BUT NOT LIMITED TO FOREIGN EXCHANGE LAWS, MONEY
LAUNDERING LAWS, BANKING LAWS, TAX LAWS, ETC.

F. MODIFICATIONS OR TERMINATION

1. MODIFICATION OR CESSATION

Frex reserves the right at any time and from time to time to modify or discontinue,
temporarily or permanently, the App and/or the Services (or any part thereof) with or
without notice and in its sole discretion. You agree that Frex shall not be liable to you
or to any third party for any modification, suspension or discontinuance of its services.

2. TERMINATION BY FREX

You hereby acknowledge and agree that Frex, in its sole and absolute discretion, has
the right (but not the obligation) to delete, terminate, or deactivate your Account, block
your email or IP address, cancel any fitness plan/subscription or otherwise terminate
your access to or in the use of the App and/or the Services (or any part thereof), or
remove and discard any Submitted Content on the App (“Termination of Service”),
immediately and without notice, for any reason, including without limitation, Account
inactivity or if Frex believes or has reason to believe that you have violated any
provision of the Terms of Use.

3. TERMINATION BY YOU

You may cancel your use of the App and/or the Services and/or terminate the Terms
of Use with or without cause at any time by following the link on the App under
“Account” to “Cancel Subscription”.

4. EFFECT OF TERMINATION

Upon termination of your Account, your right to the App, including, but not limited to,
your right to utilize the Services shall automatically terminate. You acknowledge and
agree that your right to receive any fees or compensation hereunder is conditional upon
your proper use of the App, your adherence to the Terms of Use, the continuous
activation of your Account, any refund policy of Frex and your permitted participation
in the App and/or the Services. In the event of Termination of Service, your Account
will be disabled and you may not be granted access to your Account or any files or
other data contained in your Account. Notwithstanding the above, you acknowledge
that even post termination of your Account and/or you stopping the usage of Our App
and/or Services, We shall continue to retain the information and/or transaction details,
if We are required under applicable law to do so.

Upon Termination of Service, the following shall occur: all licenses granted to you
hereunder will immediately terminate; and you shall promptly destroy all copies of Frex
Data (as defined below), Marks (as defined below) and other content in your
possession or control. You further acknowledge and agree that Frex shall not be liable
to you or any third party for any termination of your access to the App and/or the
Services. Upon Termination of Service, Frex retains the right to use any data collected
from your use of the App and/or the Services for internal analysis and archival
purposes, and all related licenses you have granted Frex hereunder shall remain in
effect for the foregoing purpose. In no event is Frex is obligated to return any Submitted
Content to you or take the same down.
You agree to indemnify and hold Frex, and its officers, managers, members, affiliates,
successor, assigns, directors, agents, suppliers, and employees harmless from any
claim or demand, including reasonable attorneys’ fees and court costs, made by any
third party due to or arising out of the Termination of Service.

G. INTELLECTUAL PROPERTY RIGHTS

1. FREX OWNS OR HOLDS THE LICENSES TO ALL DATA AND MARKS ON THE

APP
The content on the App (exclusive of all Submitted Content), including without
limitation, the text, software, scripts, graphics, photos, sounds, music, videos,
interactive features and the like (“Data”) and the trademarks, service marks and logos
contained therein (“Marks”), are owned by Frex. Other trademarks, names and logos
on the Frex are the property of their respective owners.
All intellectual property rights in the App and/or the Services is solely owned by Frex.
Data on the App is provided to you “AS IS” for your information and personal use only
and may not be used, copied, reproduced, distributed, transmitted, broadcast,
displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever
without the prior written consent of the respective owners. Frex reserves all rights not
expressly granted in the App and/or the Services and the Data. You agree not to use,
copy, or distribute, any of the Data other than as expressly permitted herein, including
any use, copying, or distribution of Submitted Content obtained through the App for
any commercial purposes. If you download or print a copy of the Data for personal use,
you must retain all copyright and other proprietary notices contained thereon. You
agree not to circumvent, disable or otherwise interfere with security features of the App
or features that prevent or restrict use or copying of any Data or enforce limitations on
use of the App or the Data therein.

2. FREX’S LICENSE TO YOU FOR THE USE OF DATA AND MARKS

The App and/or the Services contains Frex’s Data and Marks, which are, or may
become, protected by copyright, trademark, patent, trade secret and other laws, and
Frex owns and retains all rights in Frex’s Data and Marks. Subject to these Terms of
Use, Frex hereby grants you a limited, revocable, nontransferable, non sub-licensable
license to the Frex Data (excluding any software source code) solely for your personal
use in connection with accessing the App and/or the Services.

The App may also contain Data of other users or licensors, which you shall not copy,
modify, translate, publish, broadcast, transmit, distribute, perform, display, or sell.

H. FREX FEES

Frex reserves the right at its sole discretion to charge fees to the users for the Services
or any services that Frex may provide in future. In particular, Frex may at its sole discretion
introduce new services and modify some or all of the Services offered on the App. In such
an event, Frex reserves, without notice to you, the right to introduce fees for the new
services offered on amend/ introduce fees for the Services, as the case may be. The
changes to the fees and related policies shall automatically become effective once
implemented on the App.
If applicable, you agree to pay all fees or charges to your Account based on Frex’s fees,
charges, and billing terms then in effect. If you do not pay on time or if Frex cannot charge
your credit card, any payment gateway or other payment method for any reason, Frex
reserves the right to either suspend or terminate your access to the App and/or the
Services and Account, and terminate these Terms of Use. You are expressly agreeing
that Frex is permitted to bill you for the applicable fees, any applicable tax and any other
charges you may incur in connection with your use of the App and/or the Services.
The Services are chargeable and the same shall be clearly mentioned on the App, so you
can view the charges and accordingly decide whether you are desirous of availing the
Services or not. Frex reserves the right to apply applicable taxes to the charges for the
Services including but not limited to GST.
Because state and local tax laws vary significantly by locality, you understand and agree
that you are solely responsible for determining your own tax reporting requirements in
consultation with tax advisors, and that We cannot and do not offer tax advice to users of
the App and/or the Services. Further, you understand that Frex shall not be responsible
or liable in any manner in relation to tax liability of a User.

I. THIRD-PARTY LINKS, CONTACT FORMS AND PHONE NUMBERS

The App may provide, or third parties may provide, links, contact forms and/or phone
numbers to other websites or resources, including, without limitation, social networking,
blogging and similar websites through which you are able to log into the App using your
existing account and log-in credentials for such third-party websites. Certain areas of the
App may allow you to interact and/or conduct transactions with such third-party sites, and,
if applicable, allow you to configure your privacy settings in your third-party site account
to permit your activities on the App to be shared with your contacts in your third-party site
account. Because Frex has no control over such sites and resources, you acknowledge
and agree that Frex is not responsible for the availability of such external sites or

resources, and is not responsible or liable for any content, advertising, products, goods
or services on or available from such websites or resources. Unless expressly stated on
the App, links to third-party sites should in no way be considered as or interpreted to be
Frex's endorsement of such third-party sites or any product or service offered through
them. You further acknowledge and agree that Frex shall not be responsible or liable,
directly or indirectly, for any damage or loss caused or alleged to be caused by or in
connection with use of or reliance on any such content, advertising, product, goods or
services available on or through any such website or resource. The third-party website
may have different privacy policies and terms and conditions and business practices than
Frex. In certain situations, you may be transferred to a third-party website through a link
or connected to a third-party resource by a contact form or phone but it may appear that
you are still on this App or transacting with Frex. In these situations, you acknowledge
and agree that the third-party website terms and conditions and privacy policy apply in
this situation. Your dealings and communications through the App with any party other
than Frex are solely between you and such third party. Any complaints, concerns or
questions you have relating to materials provided by third parties should be forwarded
directly to the applicable third party.

IN ADDITION TO THE ABOVE, YOU ACKNOWLEDGE THAT THE RAMPING
PARTNERS (AS DEFINED BELOW) ARE AN INTEGRAL PART OF THE SERVICES
PROVIDED BY FREX AND THEIR RESPECTIVE POLICIES (INCLUDING TERMS OF
USE, PRIVACY POLICY ETC. (OR BY WHATEVER NAME CALLED) ARE APPLICABLE
TO THE TRANSACTIONS UNDERTAKEN BY THE USERS AND THEREFORE, YOU
ACKNOWLEDGE AND CONSENT TO BE BOUND BY THEM.

J. FRAUD PROTECTION AND DISPUTE RESOLUTION

Frex will actively monitor the customer's transactions for potential fraudulent activity and
will notify the customer immediately upon detection of any suspicious activity, allowing the
customer to dispute such transactions within a reasonable timeframe.

i. Reporting Fraud: The customers must notify Frex immediately upon discovering any

unauthorized transactions or suspected fraud on their Account.
ii. Investigation and Resolution: Upon notification of potential fraud, Frex will investigate

the matter and take reasonable steps to resolve any fraudulent transactions, including
initiating a chargeback process with the relevant bank. If Frex identifies the customer
engaging in fraudulent activity, Frex reserves the right to automatically debit the
customer’s designated bank account ("Bank Account").

iii. Automated Debit Authorization: The customer hereby authorizes Frex to instruct its
payment partner to automatically debit the Bank Account in cases of fraudulent
activities, according to the intervals specified in the customer’s account settings.

iv. Customer Responsibility: The customers agree to review their Bank Account
statements regularly and report any discrepancies promptly.

v. Frex may terminate this Agreement immediately in case of fraudulent or illegal or
unlawful activity, non-payment, or breach of contract by the customer.

K. DISCLAIMER OF WARRANTIES

YOU AGREE THAT FREX IS MERELY A TECHNOLOGY PLATFORM WHICH
ENABLES THE USERS TO INTERACT WITH THIRD PARTY SERVICE PROVIDERS
WHO SHALL ON RAMP AND OFF RAMP THE USERS’ FUNDS AND/OR VIRTUAL
DIGITAL ASSETS (“RAMPING PARTNERS”). YOU ACKNOWLEDGE THAT FREX
ITSELF IS NOT INVOLVED IN (i) THE CLEARING, PAYMENT, OR SETTLEMENT
SERVICES OR (ii) DISBURSAL OF FUNDS OR VIRTUAL DIGITAL ASSETS, OR
ARRANGEMENT WITH USERS OR RAMPING PARTNERS WHO ARE INVOLVED IN
DISBURSAL OF FUNDS OR VIRTUAL DIGITAL ASSETS, TO THE USERS’
ACCOUNTS; OR (iii) HOLDING, TRANSFER OR SETTLEMENT OF VIRTUAL DIGITAL
ASSETS OR FUNDS; OR (iv) DEALING IN OR RECEIVING FOREIGN EXCHANGE.
YOU ACKNOWLEDGE THAT THE RAMPING PARTNERS ARE THE ENTITIES WHO
ARE REQUIRED UNDER LAW TO OBTAIN AND HOLD VALID AUTHORISATIONS,
CONSENTS, APPROVALS, ETC. AND ENSURE COMPLIANCE WITH APPLICABLE
LAW, INCLUDING REPORTING REQUIREMENTS.

YOU AGREE THAT YOUR USE OF THE APP SHALL BE AT YOUR OWN RISK. TO THE
FULLEST EXTENT PERMITTED BY LAW, AND FREX AND ITS OFFICERS,
MANAGERS, MEMBERS, DIRECTORS, EMPLOYEES, SUCCESSORS, ASSIGNS,
SUBSIDIARIES, AFFILIATES, SUPPLIERS, AND AGENTS DISCLAIM ALL
WARRANTIES, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, AND MAKE NO
WARRANTIES, REPRESENTATIONS, OR GUARANTEES IN CONNECTION WITH
THIS APP, THE SERVICES OFFERED ON OR THROUGH THIS APP, ANY DATA,
MATERIALS, SUBMITTED CONTENT, RELATING TO THE QUALITY, SUITABILITY,
TRUTH, ACCURACY OR COMPLETENESS OF ANY INFORMATION OR MATERIAL
CONTAINED OR PRESENTED ON THIS APP, INCLUDING WITHOUT LIMITATION
THE MATERIALS, DATA AND SUBMITTED CONTENT OF OTHER USERS OF THIS
SITE OR OTHER THIRD PARTIES. UNLESS OTHERWISE EXPLICITLY STATED, TO
THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THIS APP, THE
SERVICES OFFERED ON OR THROUGH THIS APP, DATA, MATERIALS, SUBMITTED
CONTENT, AND ANY INFORMATION OR MATERIAL CONTAINED OR PRESENTED
ON THIS APP IS PROVIDED TO YOU ON AN "AS IS," "AS AVAILABLE" AND "WHERE
IS" BASIS WITH NO WARRANTY OF IMPLIED WARRANTY OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF THIRD-
PARTY RIGHTS. FREX DOES NOT PROVIDE ANY WARRANTIES AGAINST ERRORS,
MISTAKES, OR INACCURACIES OF DATA, CONTENT, INFORMATION, MATERIALS,
SUBSTANCE OF THE APP OR SUBMITTED CONTENT, ANY UNAUTHORIZED
ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL
PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN,
ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE
TRANSMITTED TO OR THROUGH THE APP BY ANY THIRD PARTY, ANY
INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE APP, ANY
DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY OR
SERVICE USER OR SERVICE PROVIDER, OR ANY LOSS OR DAMAGE OF ANY KIND
INCURRED AS A RESULT OF THE USE OF ANY DATA, CONTENT, INFORMATION,
MATERIALS, SUBSTANCE OF THE APP OR SUBMITTED CONTENT POSTED,
EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE APP. FREX

DOES NOT ENDORSE, WARRANT, GUARANTEE, OR ASSUME RESPONSIBILITY
FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY
THROUGH THE APP OR ANY HYPERLINKED SITE OR FEATURED IN ANY BANNER
OR OTHER ADVERTISEMENT. FREX WILL NOT BE A PARTY TO OR IN ANY WAY
BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND
ANY PARTY, INCLUDING THIRD PARTY SERVICE PROFESSIONALS OF PRODUCTS
OR SERVICES. AS WITH THE USE OF ANY PRODUCT OR SERVICE, AND THE
PUBLISHING OR POSTING OF ANY MATERIAL THROUGH ANY MEDIUM OR IN ANY
ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE
CAUTION WHERE APPROPRIATE.

L. Limitations of Liability

1. IN NO EVENT SHALL FREX, OR ITS RESPECTIVE OFFICERS, MANAGERS,
MEMBERS, DIRECTORS, EMPLOYEES, SUCCESSORS, ASSIGNS,
SUBSIDIARIES, AFFILIATES, SUPPLIERS, ATTORNEYS OR AGENTS, BE
LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL,
PUNITIVE, CONSEQUENTIAL OR EXEMPLARY DAMAGES (INCLUDING BUT
NOT LIMITED TO LOSS OF BUSINESS, REVENUE, PROFITS, USE, DATA OR
OTHER ECONOMIC ADVANTAGE) WHATSOEVER RESULTING FROM ANY (I)
ACCESS TO OR USE OF THE APP OR ANY SERVICES OFFERED VIA THE APP
OR THE SERVICES ; (II) ERRORS, MISTAKES, OR INACCURACIES OF DATA,
MARKS, CONTENT, INFORMATION, MATERIALS OR SUBSTANCE OF THE APP
AND/OR THE SERVICES OR SUBMITTED CONTENT; (III) ANY UNAUTHORIZED
ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL
PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED
THEREIN; (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH
MAY BE TRANSMITTED TO OR THROUGH THE APP BY ANY THIRD PARTY; (V)
ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE
APP; (VI) ANY ERRORS OR OMISSIONS IN ANY DATA, CONTENT,
INFORMATION, MATERIALS OR SUBSTANCE OF THE APP AND/OR THE
SERVICES OR SUBMITTED CONTENT; (VII) ANY OTHER DISPUTE THAT
ARISES BETWEEN USERS OF THE APP; (VIII) ANY DEFAMATORY, OFFENSIVE,
OR ILLEGAL CONDUCT OF ANY PARTY; OR (IX) ANY USE OF ANY DATA,
MARKS, CONTENT, INFORMATION, MATERIALS OR SUBSTANCE OF THE APP
AND/OR THE SERVICES OR SUBMITTED CONTENT POSTED, EMAILED,
TRANSMITTED, OR OTHERWISE MADE AVAILABLE ON THE APP; WHETHER
BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR
ANY OTHER LEGAL THEORY, AND WHETHER OR NOT FREX IS ADVISED OF
THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF
LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN
THE APPLICABLE JURISDICTION.

2. IN NO EVENT SHALL THE TOTAL, AGGREGATE LIABILITY OF FREX, OR ANY
OF THE ABOVE-REFERENCED RESPECTIVE PARTIES, ARISING FROM OR
RELATING TO THE APP AND/OR THE SERVICES, AND/OR SUBMITTED
CONTENT EXCEED THE TOTAL AMOUNT OF MONEY BEING TRANSFERRED
BY THE USER.
YOU HEREBY ACKNOWLEDGE AND AGREE THAT FREX SHALL NOT BE LIABLE
FOR THE END USAGE OF THE MONEY TRANSFERRED, SUBMITTED CONTENT
OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD
PARTY OR USER AND THAT THE RISK OF HARM OR DAMAGE FROM THE
FOREGOING RESTS ENTIRELY WITH YOU. YOU FURTHER ACKNOWLEDGE

AND AGREE THAT FREX SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT,
INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL OR EXEMPLARY
DAMAGES (INCLUDING BUT NOT LIMITED TO LOSS OF BUSINESS, REVENUE,
PROFITS, USE, DATA OR OTHER ECONOMIC ADVANTAGE) WHATSOEVER.

THE APP MAY CONTAIN LINKS TO THIRD-PARTY WEBSITES THAT ARE NOT
OWNED OR CONTROLLED BY FREX. FREX DOES NOT HAVE ANY CONTROL
OVER, AND ASSUMES NO RESPONSIBILITY FOR, THE CONTENT, PRIVACY
POLICIES, OR PRACTICES OF ANY THIRD-PARTY WEBSITES. IN ADDITION,
FREX WILL NOT AND CANNOT CENSOR OR EDIT THE CONTENT OF ANY
THIRD-PARTY SITE. BY USING THE APP, YOU EXPRESSLY RELIEVE FREX
FROM ANY AND ALL LIABILITY ARISING FROM YOUR USE OF ANY THIRD-
PARTY WEBSITE. ACCORDINGLY, PLEASE BE ADVISED TO READ THE TERMS
AND CONDITIONS AND PRIVACY POLICY OF EACH THIRD-PARTY WEBSITE
THAT YOU VISIT, INCLUDING THOSE DIRECTED BY THE LINKS CONTAINED
ON THE APP.

M. FORCE MAJEURE

Neither Frex nor you shall be liable to the other for any delay or failure in performance
under the Terms of Use, arising out of a cause beyond its control and without its fault or
negligence. Such causes may include, but are not limited to fires, floods, earthquakes,
strikes, unavailability of necessary utilities, blackouts, acts of God, epidemics and
pandemics, acts of declared or undeclared war, acts of governmental and/or regulatory
agencies, or national disasters.

N. INDEMNIFICATION AND RELEASE

YOU AGREE TO DEFEND, INDEMNIFY AND HOLD HARMLESS FREX, AND ITS
OFFICERS, MANAGERS, MEMBERS, DIRECTORS, EMPLOYEES, SUCCESSORS,
ASSIGNS, SUBSIDIARIES, AFFILIATES, SUPPLIERS, AND AGENTS, FROM AND
AGAINST ANY AND ALL CLAIMS, DAMAGES, OBLIGATIONS, LOSSES, LIABILITIES,
COSTS OR DEBT, AND EXPENSES (INCLUDING BUT NOT LIMITED TO ATTORNEYS'
FEES) ARISING FROM YOUR USE OF, AND ACCESS TO THE APP AND/OR THE
SERVICES; YOUR VIOLATION OF ANY PROVISION OF THE TERMS OF USE,
INCLUDING THE PRIVACY POLICY; YOUR VIOLATION OF APPLICABLE LAW; YOUR
VIOLATION OF ANY THIRD-PARTY RIGHT, INCLUDING WITHOUT LIMITATION ANY
COPYRIGHT, PROPERTY, PROPRIETARY, INTELLECTUAL PROPERTY, OR
PRIVACY RIGHT; OR ANY CLAIM THAT YOUR SUBMITTED CONTENT CAUSED
DAMAGE TO A THIRD PARTY. THIS DEFENSE AND INDEMNIFICATION OBLIGATION
WILL SURVIVE THESE TERMS OF SERVICE AND YOUR USE OF THE APP AND/ OR
THE SERVICES.
IF YOU HAVE A DISPUTE WITH ONE OR MORE APP USERS, YOU FOREVER
RELEASE FREX (AND ITS OFFICERS, MANAGERS, MEMBERS, DIRECTORS,
EMPLOYEES, SUCCESSORS, ASSIGNS, SUBSIDIARIES, AFFILIATES, SUPPLIERS,
AGENTS, SUBSIDIARIES, AND EMPLOYEES) FROM ANY AND ALL CLAIMS,
DEMANDS AND DAMAGES (ACTUAL AND CONSEQUENTIAL) OF EVERY KIND AND
NATURE, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED
WITH YOUR USE OF THE APP AND/OR ANY SUBMITTED CONTENT.

THE TERMS OF USE, AND ANY RIGHTS AND LICENSES GRANTED HEREUNDER,
MAY NOT BE TRANSFERRED OR ASSIGNED BY YOU, BUT MAY BE ASSIGNED BY
FREX WITHOUT RESTRICTION.

O. LICENSE TO USE YOUR INFORMATION

With the exception of your non-public personal information, you hereby grant to Frex the
perpetual, unlimited, royalty-free, worldwide, non-exclusive, irrevocable, transferable
license to run, display, copy, reproduce, publish, bundle, distribute, market, create
derivative works of, adapt, translate, transmit, arrange, modify, sublicense, export, merge,
transfer, loan, rent, lease, assign, share, outsource, host, make available to any person
or otherwise use any information or other content you provide on or through this website
or which is sent to Frex by email or other correspondence, including, without limitation,
any ideas, concepts, inventions, know-how, techniques or any intellectual property
contained therein, for any purpose whatsoever. Frex shall not be subject to any
obligations of confidentiality regarding any such information unless specifically agreed to
by Frex in writing or required by law. You represent and warrant that you have the right to
grant the license set out above.

P. PERSONAL INFORMATION

Frex may from time to time, but is not obligated to, monitor your use of the App and collect,
store, use and disclose information concerning you to solicit you to offer you its Services,
and you hereby consent to such collection, storage, use and disclosure and waive any
right of privacy you may have in it.

Q. SERVICE AGREEMENT

If you procure Services from Frex or one of its integrated platforms, then such Services
shall be delivered pursuant to a separate agreement and are not provided hereunder and
you shall have no rights or claims in respect of such Services hereunder.

R. ENUREMENT

This Agreement shall enure to the benefit of and be binding upon each of us and our
respective successors and permitted assigns. You acknowledge having read this
Agreement before accepting it, having the authority to accept this Agreement and having
received a copy of this Agreement.


FREX ASSUMES NO OBLIGATION TO UPDATE THE CONTENT ON THIS SITE. THE
CONTENT ON THIS SITE MAY BE CHANGED WITHOUT NOTICE TO YOU. FREX IS
NOT RESPONSIBLE FOR ANY CONTENT OR INFORMATION THAT YOU MAY FIND
UNDESIRABLE OR OBJECTIONABLE. FREX DISCLAIMS ANY LIABILITY FOR
UNAUTHORIZED USE OR REPRODUCTION OF ANY PORTION OF THE APP.
ACCESSING THE CONTENT FROM TERRITORIES WHERE IT MAY BE ILLEGAL IS
PROHIBITED.

S. GOVERNING LAW, JURISDICTION AND DISPUTE RESOLUTION

Except as otherwise set forth in these Terms, these Terms shall be exclusively governed
by and construed in accordance with the laws of India. Any dispute, conflict, claim or
controversy arising out of or broadly in connection with or relating to the Services or these
Terms, including those relating to its validity, its construction or its enforceability (any
“Dispute”) shall be first mandatorily communicated to Frex and you shall allow Frex a
period of thirty (30) working days to provide you with a solution. If a solution to the Dispute
raised by you is not forthcoming within a period of thirty (30) days from the communication
of such dispute to Frex, the Dispute shall mandatorily be submitted to mediation
proceedings in terms of the Arbitration and Conciliation Act, 1996 (as amended) (“Act”).

If such Dispute has not been settled within forty-five (45) days after a request for mediation
has been submitted under the Arbitration and Conciliation Act, 1996 (as amended), such
Dispute can be referred to and shall be exclusively and finally resolved by arbitration
under the Act. The Dispute shall be resolved by one (1) arbitrator to be mutually appointed
by the Parties in accordance with the Act. The place of both mediation and arbitration
shall be New Delhi. The language of the mediation and/or arbitration shall be English.
Each party shall bear its own costs of arbitration, and the parties shall share equally the
fees and expenses of the arbitrator(s). The award of the arbitrator(s) shall be final and
binding upon the parties and may be enforced in any court of competent jurisdiction.
Nothing in this clause shall preclude either party from seeking interim injunctive relief, or
any other provisional remedy, from any court of competent jurisdiction.

The existence and content of the mediation and arbitration proceedings, including
documents and briefs submitted by the parties, any correspondence from the mediator,
and correspondence, orders, and awards issued by the sole arbitrator, shall remain strictly
confidential and shall not be disclosed to any third party without the express written
consent from the other party unless: (i) the disclosure to the third party is reasonably
required in the context of conducting the mediation or arbitration proceedings; and (ii) the
third party agrees unconditionally in writing to be bound by the confidentiality obligation
stipulated herein.

T. NOTICE

Any notice or communication required or permitted to be given under this Agreement shall
be in writing and shall be deemed to have been received when sent by electronic mail to
the email address provided by the recipient party, which in the case of Frex shall be
legal@frexpay.com.

It is your responsibility to keep Frex updated as to your current email address. Any notice
or communication sent by electronic mail shall be deemed to have been received on the
date and at the time of transmission, provided that no "system error" or other notice of
non-delivery is generated or received by the sender.

U. INTERPRETATION

The division of this Agreement into sections and the insertion of headings are for
convenience of reference only and shall not affect the construction or interpretation of this

Agreement. In this Agreement, words importing the singular number include the plural
and vice versa; words importing gender include all genders; and words importing persons
include individuals, sole proprietors, partnerships, corporations, trusts and unincorporated
associations.

V. SEVERABILITY

Should any provision(s) of these Terms of Use is/are held by a court of competent
jurisdiction be found to be unlawful, void, illegal, invalid, or unenforceable, such
provision(s) shall be deemed severable and will not affect the validity and/or enforceability
of the remaining provisions of the Terms of Use, which will remain in full force and effect.

W. ENTIRE AGREEMENT

These Terms of Use, as they may be amended from time to time, and any and all other
legal notices and policies on this App, including but not limited to the Privacy Policy,
constitutes the entire agreement between you and Frex with respect to the use of this App
and the Content. This agreement supersedes any prior agreement between you and Frex.
Any modifications to this Agreement must be made in writing.

X. AMENDMENT AND WAIVER

Frex reserves the right, in its discretion, to amend, change, alter, replace, or modify these
Terms of Use at any time by posting amendments on this App. You are responsible for
periodically reviewing the amendments on this App, and you are deemed to be aware of
such amendments. If you do not agree to the amended terms and conditions, you shall
immediately stop using this website. Access to this App or use of this App after any
amendments have been posted shall constitute your acknowledgement and acceptance
of the amended terms and conditions. No supplement, modification or amendment to this
Agreement and no waiver of any provision of this Agreement shall be binding on Frex
unless executed by Frex in writing. No waiver of any of the provisions of this Agreement
shall be deemed to be or shall constitute a waiver of any other provision (whether or not
similar) nor shall such waiver constitute a continuing waiver unless otherwise expressly
provided.
